This Terms of Service and Sale Agreement ("Agreement") governs your use of the websites located at powerirl.co, pwrirl.com, and dashboard.pwrirl.com, and all streaming infrastructure, tools, and services we provide (collectively, the "Service"). The terms "we", "us", and "our" refer to SDS Nexus, LLC dba PowerIRL.

We may amend this Agreement at any time by posting the amended terms on our Website. We may or may not post notices on the homepage of our Website when such changes occur.

We refer to this Agreement, our Privacy Policy, and any other terms, rules, or guidelines on our Website collectively as our "Legal Terms." You explicitly and implicitly agree to be bound by our Legal Terms each time you access our Website or use our Service. If you do not wish to be so bound, please do not use or access our Website or Service.

Description of Service

PowerIRL provides cloud-based streaming infrastructure services, including but not limited to: cloud OBS servers (shared and dedicated), dedicated bare metal servers, dedicated GPU servers, SRT/SRTLA streaming endpoints, RTMP streaming endpoints, remote desktop access via Guacamole, and related streaming tools. Services are provided on a subscription basis with various billing intervals (monthly, quarterly, semi-annual, and annual).

Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and complete
  • Maintain the security and confidentiality of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age to create an account and use the Service.

Limited License

PowerIRL grants you a non-exclusive, non-transferable, revocable license to access and use our Website and Service to purchase and use streaming infrastructure subscriptions and related services, strictly in accordance with our Legal Terms.

Subscription & Billing

By subscribing to a plan, you agree to the following:

  • Subscriptions are billed in advance on a recurring basis according to your chosen billing interval (monthly, quarterly, semi-annual, or annual)
  • Payment is processed securely through Stripe. You authorize us to charge your payment method on file for all applicable fees
  • Longer billing intervals may include discounts (5% quarterly, 10% semi-annual, 15% annual) as indicated at the time of purchase
  • You are responsible for keeping your payment information current. Failed payments may result in service suspension
  • Prices are subject to change with 30 days' notice. Price changes will not affect your current billing period

Cancellation

You may cancel your subscription at any time through the dashboard or by contacting us. Upon cancellation:

  • Your service will remain active until the end of your current paid billing period
  • No partial refunds will be issued for unused time within a billing period
  • Your server, streaming endpoints, and associated data will be deprovisioned at the end of the billing period
  • You are responsible for backing up any data or configurations before your service ends

Service Provisioning

Streaming servers are typically provisioned within 24 hours of successful payment. Provisioning times may vary based on server availability and plan type. PowerIRL does not guarantee specific provisioning timelines and shall not be liable for delays in server deployment.

Acceptable Use Policy

Our Service is provided exclusively for lawful live streaming and related content creation activities. You agree that you will NOT use the Service to:

  • Non-streaming purposes: The servers and endpoints provided are for live streaming use only. You may not use them as general-purpose servers, web hosting, file storage, cryptocurrency mining, running bots, or any purpose other than live streaming and directly related activities (e.g., OBS configuration, stream management).
  • Illegal activity: Stream, transmit, or facilitate any content or activity that violates any applicable local, state, national, or international law, including but not limited to criminal activity, fraud, money laundering, or illegal gambling.
  • Harmful content: Stream or distribute content that promotes violence, terrorism, child exploitation, or any form of abuse. This includes content that is obscene, threatening, harassing, defamatory, or discriminatory.
  • Intellectual property infringement: Stream copyrighted content without proper authorization, including but not limited to pirating movies, TV shows, music, sporting events, or other protected media.
  • Network abuse: Attempt to disrupt, overload, or interfere with our infrastructure, other users' services, or any third-party systems. This includes DDoS attacks, port scanning, or attempting to gain unauthorized access to any system.
  • Credential sharing: Share your account credentials, stream keys, or server access with unauthorized third parties. Your subscription is for your use only.
  • Resale: Resell, sublicense, or redistribute access to the Service or any portion thereof without our express written permission.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, at our sole discretion.

Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, for any reason, at our sole discretion, with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms of Service or the Acceptable Use Policy
  • Non-payment or repeated payment failures
  • Abusive or disruptive behavior toward our staff or other users
  • Use of the Service for any unlawful purpose
  • At our discretion for any reason we deem necessary to protect the Service, our infrastructure, or other users

Upon termination, your right to use the Service will immediately cease. We are not liable to you or any third party for any termination of your access to the Service. In cases of termination for cause (e.g., violation of Acceptable Use Policy or illegal activity), no refund will be issued.

Copyrights and Trademarks

Unless otherwise noted, all materials including without limitation, logos, brand names, images, designs, photographs, video clips and written and other materials that appear as part of our Website are copyrights, trademarks, service marks, trade dress and/or other intellectual property whether registered or unregistered ("Intellectual Property") owned, controlled or licensed by PowerIRL. Our Website as a whole is protected by copyright and trade dress. Nothing on our Website should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Intellectual Property displayed or used on our Website, without the prior written permission of the Intellectual Property owner. PowerIRL aggressively enforces its intellectual property rights to the fullest extent of the law. The names and logos of PowerIRL may not be used in any way, including in advertising or publicity pertaining to distribution of materials on our Website, without prior written permission from PowerIRL. Fair use of PowerIRL's Intellectual Property requires proper acknowledgment. Other product and company names mentioned in our Website may be the Intellectual Property of their respective owners.

Our Website may contain links to Websites owned or operated by parties other than PowerIRL. Such links are provided for your reference only. PowerIRL does not monitor or control outside Websites and is not responsible for their content. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

POWERIRL DOES NOT GUARANTEE ANY SPECIFIC UPTIME, STREAMING QUALITY, OR AVAILABILITY OF THE SERVICE. WHILE WE STRIVE TO MAINTAIN HIGH AVAILABILITY, SERVICE INTERRUPTIONS MAY OCCUR DUE TO MAINTENANCE, UPDATES, OR CIRCUMSTANCES BEYOND OUR CONTROL.

Refund Policy

All sales are final. PowerIRL does not offer any refunds or exchanges for any products or services purchased through our Website. By making a purchase, you acknowledge and agree that you are not entitled to a refund for any reason, including but not limited to dissatisfaction with the product, change of mind, or failure to use the product or service. Cancellation of a subscription does not entitle you to a refund for the current billing period.

Indemnification

You agree to defend, indemnify and hold PowerIRL harmless from and against any and all claims, damages, costs and expenses, including attorneys' fees, arising from or related to your use of our Website or Service, your violation of these Terms, your violation of the Acceptable Use Policy, or any content you stream or transmit through our Service.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Sheridan County, Wyoming.
